ALLGEMEINE GESCHÄFTSBEDINGUNGEN
Diese allgemeinen Geschäftsbedingungen sind in mehreren Sprachen abgefasst. Bei Interpretationsspielräumen oder Verständnisproblemen gilt die deutsche Version.

1) Geltungsbereich

1.1 Diese Allgemeinen Geschäftsbedingungen (nachfolgend „AGB“) von Finlip (nachfolgend „Verkäufer“), gelten für alle Verträge zur Lieferung von Waren, die ein Unternehmer (nachfolgend „Kunde“) mit dem Verkäufer hinsichtlich der vom Verkäufer in diesem Online-Shop (www.finlip.info) dargestellten Waren abschließt. Hiermit wird der Einbeziehung von eigenen Bedingungen des Kunden widersprochen, es sei denn, es ist etwas anderes vereinbart.

1.2 Unternehmer im Sinne dieser AGB ist eine natürliche oder juristische Person oder eine rechtsfähige Personengesellschaft, die bei Abschluss eines Rechtsgeschäfts in Ausübung ihrer gewerblichen oder selbständigen beruflichen Tätigkeit handelt.

1.3. Der Verkäufer behält es sich vor die AGB jederzeit anzupassen.

2) Vertragsschluss

2.1 Die Darstellung der Produkte im Online-Shop stellt kein rechtlich bindendes Angebot, sondern einen unverbindlichen Online-Katalog dar. Die im Online-Shop des Verkäufers enthaltenen Produktbeschreibungen stellen keine verbindlichen Angebote seitens des Verkäufers dar, sondern dienen zur Abgabe eines verbindlichen Angebots durch den Kunden.

2.2 Der Kunde kann das Angebot über das in den Online-Shop des Verkäufers integrierte Online-Bestellformular abgeben. Dabei gibt der Kunde, nachdem er die ausgewählten Waren in den virtuellen Warenkorb gelegt und den elektronischen Bestellprozess durchlaufen hat, durch Klicken des den Bestellvorgang abschließenden Buttons ein rechtlich verbindliches Vertragsangebot in Bezug auf die im Warenkorb enthaltenen Waren ab. Ferner kann der Kunde das Angebot auch per E-Mail oder per Online-Kontaktformular gegenüber dem Verkäufer abgeben.

2.3 Der Verkäufer kann das Angebot des Kunden innerhalb von fünf Tagen annehmen,

  • indem er dem Kunden eine schriftliche Auftragsbestätigung oder eine Auftragsbestätigung in Textform (Fax oder E-Mail) übermittelt, wobei insoweit der Zugang der Auftragsbestätigung beim Kunden maßgeblich ist, oder
  • indem er dem Kunden die bestellte Ware liefert, wobei insoweit der Zugang der Ware beim Kunden maßgeblich ist, oder
  • indem er den Kunden nach Abgabe von dessen Bestellung zur Zahlung auffordert.

Liegen mehrere der vorgenannten Alternativen vor, kommt der Vertrag in dem Zeitpunkt zustande, in dem eine der vorgenannten Alternativen zuerst eintritt. Die Frist zur Annahme des Angebots beginnt am Tag nach der Absendung des Angebots durch den Kunden zu laufen und endet mit dem Ablauf des fünften Tages, welcher auf die Absendung des Angebots folgt. Nimmt der Verkäufer das Angebot des Kunden innerhalb vorgenannter Frist nicht an, so gilt dies als Ablehnung des Angebots mit der Folge, dass der Kunde nicht mehr an seine Willenserklärung gebunden ist.

2.4 Bei der Abgabe eines Angebots über das Online-Bestellformular des Verkäufers wird der Vertragstext nach dem Vertragsschluss vom Verkäufer gespeichert und dem Kunden nach Absendung von dessen Bestellung in Textform (z. B. E-Mail, Fax oder Brief) übermittelt. Eine darüber hinausgehende Zugänglichmachung des Vertragstextes durch den Verkäufer erfolgt nicht. Sofern der Kunde vor Absendung seiner Bestellung ein Nutzerkonto im Online-Shop des Verkäufers eingerichtet hat, werden die Bestelldaten auf der Website des Verkäufers archiviert und können vom Kunden über dessen passwortgeschütztes Nutzerkonto unter Angabe der entsprechenden Login-Daten kostenlos abgerufen werden.

2.7 Für den Vertragsschluss steht die deutsche, italienische und englische Sprache zur Verfügung.

2.8 Die Bestellabwicklung und Kontaktaufnahme finden in der Regel per E-Mail und automatisierter Bestellabwicklung statt. Der Kunde hat sicherzustellen, dass die von ihm zur Bestellabwicklung angegebene E-Mail-Adresse zutreffend ist, so dass unter dieser Adresse die vom Verkäufer versandten E-Mails empfangen werden können. Insbesondere hat der Kunde bei dem Einsatz von SPAM-Filtern sicherzustellen, dass alle vom Verkäufer oder von diesem mit der Bestellabwicklung beauftragten Dritten versandten E-Mails zugestellt werden können.

3) Preise, Zahlungsbedingungen, Rechnung

3.1 Sofern sich aus der Produktbeschreibung des Verkäufers nichts anderes ergibt, handelt es sich bei den angegebenen Preisen um den Nettopreis und somit exklusive der gesetzlichen Umsatzsteuer. Gegebenenfalls zusätzlich anfallende Liefer- und Versandkosten werden gesondert angegeben.

3.2 Die Zahlungsmöglichkeit/en wird/werden dem Kunden im Online-Shop des Verkäufers mitgeteilt.

3.3 Ist Vorauskasse per Banküberweisung vereinbart, ist die Zahlung sofort nach Vertragsabschluss fällig, sofern die Parteien keinen späteren Fälligkeitstermin vereinbart haben.

3.4 Laut. Art. 1; Abs. 1 des MD (Ministerialdekret) vom 21.12.1992 ist der Versandhandel von der Ausstellung fiskalischer Dokumente (Steuerquittung, Rechnung, u. Ä.) befreit. Sie erhalten von uns eine Warenbegleitrechnung, die sämtliche auftragsrelevanten Informationen (Auftragsnummer, anagrafische Daten des Käufers, Auflistung der bestellten Artikel samt Menge und Wert, Auftragssumme, Informationen zu Versand und Bezahlung, usw.) enthält. Für Unternehmen mit Sitz in Italien kann eine elektronische Rechnung ausgestellt werden.

4) Liefer- und Versandbedingungen

4.1 Mangels anders lautender schriftlicher Vereinbarung sind die Lieferbedingungen, EXW(„ex works“) laut den INCOTERMS 2010.

4.2 Die seitens des Verkäufers genannten Liefer- und/oder Fertigstellungstermine/fristen sind unverbindlich, soweit die Termine nicht ausnahmsweise und ausdrücklich mit dem Wort „verbindlich“ versehen worden sind.

4.3 Bietet der Verkäufer den Versand der Ware an, so erfolgt die Lieferung innerhalb des vom Verkäufer angegebenen Liefergebietes an die vom Kunden angegebene Lieferanschrift, sofern nichts anderes vereinbart ist. Bei der Abwicklung der Transaktion ist die in der Bestellabwicklung des Verkäufers angegebene Lieferanschrift maßgeblich.

4.4 Scheitert die Zustellung der Ware aus Gründen, die der Kunde zu vertreten hat, trägt der Kunde die dem Verkäufer hierdurch entstehenden angemessenen Kosten.

4.5 Handelt der Kunde als Unternehmer, geht die Gefahr des zufälligen Untergangs und der zufälligen Verschlechterung der verkauften Ware auf den Kunden über, sobald der Verkäufer die Sache dem Spediteur, dem Frachtführer oder der sonst zur Ausführung der Versendung bestimmten Person oder Anstalt ausgeliefert hat.

4.6 Der Verkäufer behält sich das Recht vor, im Falle nicht richtiger oder nicht ordnungsgemäßer Selbstbelieferung vom Vertrag zurückzutreten. Dies gilt nur für den Fall, dass die Nichtlieferung nicht vom Verkäufer zu vertreten ist und dieser mit der gebotenen Sorgfalt ein konkretes Deckungsgeschäft mit dem Zulieferer abgeschlossen hat. Der Verkäufer wird alle zumutbaren Anstrengungen unternehmen, um die Ware zu beschaffen. Im Falle der Nichtverfügbarkeit oder der nur teilweisen Verfügbarkeit der Ware wird der Kunde unverzüglich informiert und die Gegenleistung unverzüglich erstattet.

4.7 Bietet der Verkäufer die Ware zur Abholung an, so kann der Kunde die bestellte Ware innerhalb der vom Verkäufer angegebenen Geschäftszeiten unter der vom Verkäufer angegebenen Adresse abholen. In diesem Fall werden keine Versandkosten berechnet.

Der Verkäufer behält sich weiters die Möglichkeit vor, Teillieferungen durchzuführen, wobei in diesem Falle die Haftung für verspätete Lieferung für noch nicht übergebene Produkte ausgeschlossen ist. Falls Lieferungen des Verkäufers auf Europaletten erfolgen, werden diese zum gängigen Marktpreis in Rechnung gestellt, sofern sie bei Übergabe der Ware nicht mit einer Europalette des Käufers ausgetauscht werden, wobei der Nachweis des Tausches im CMR, oder – wenn kein CMR vorhanden – im Lieferschein vermerkt worden sein muss.

5) Eigentumsvorbehalt

Tritt der Verkäufer in Vorleistung, behält er sich bis zur vollständigen Bezahlung des geschuldeten Kaufpreises das Eigentum an der gelieferten Ware vor.

6) Mängelhaftung (Gewährleistung)

6.1 Soweit sich aus den nachfolgenden Regelungen nichts anderes ergibt, gelten die Vorschriften der gesetzlichen Mängelhaftung.

6.2 Handelt der Kunde als Unternehmer, so gelten hiervon abweichend:

  • hat der Verkäufer die Wahl der Art der Nacherfüllung
  • beträgt die Verjährungsfrist für Mängel 1 Jahr ab Lieferung der Ware
  • beginnt die Verjährung nicht erneut, wenn im Rahmen der Mangelhaftung eine Ersatzlieferung erfolgt.

6.3 Der Kunde verpflichtet sich die Produkte gleichzeitig bei Abladen/Erhalt derselben von den Transportmitteln auf offensichtliche Transport-/Verpackungsschäden zu überprüfen. Dergeartete leicht erkennbare Schäden an der Verpackung/Ware können nur geltend gemacht werden, wenn diese bei Warenübergabe beim Transporteur vermerkt wurden.
6.4 Der Kunde hat eine Waren-Prüfpflicht zum Zeitpunkt der Einlagerung. Offensichtliche Mängel an der Ware (auch wenn nicht an der äußeren Verpackung sichtbar) sind unabhängig von der vereinbarten INCOTERMS spätestens innerhalb von acht (8) Tagen ab Empfang der Ware nach Transport zu beanstanden, und zwar schriftlich mittels Email oder mittels Einschreibebrief mit Rückantwort, wobei das Transport-Dokument, Foto-Dokumentation und eine detaillierte Beschreibung der Art der Mängel beizulegen ist („Mängelrüge“). Im Falle von versteckten Mängeln muss die Beanstandung innerhalb von acht (8) Tagen ab Entdecken derselben erfolgen. In keinem Fall haftet der Verkäufer für Mängel, welche nach über zwölf (12) Monaten ab Empfang der Ware nach Transport entdeckt werden.
6.5 Für nicht innerhalb der genannten Fristen beanstandete Mängel übernimmt die Der Verkäufer keinerlei Haftung.

7) Besondere Bedingungen für die Verarbeitung von Waren nach bestimmten Vorgaben des Kunden

7.1Schuldet der Verkäufer nach dem Inhalt des Vertrages neben der Warenlieferung auch die Verarbeitung/Produktion der Ware nach bestimmten Vorgaben des Kunden, hat der Kunde dem Verkäufer alle für die Verarbeitung erforderlichen Inhalte (z.B.: gewünschter Farbton, Menge, Lieferzeitpunkt usw.) zu stellen.

7.2 Der Verkäufer behält sich vor, Verarbeitungsaufträge abzulehnen, wenn die vom Kunden hierfür überlassenen Inhalte nicht herstellbar sind.

7.3 Der Verkäufer weist ausdrücklich darauf hin, dass er nicht für die Erreichung der vom Kunden geforderten Farbe garantieren kann und es sich immer um einen der Kundenforderung ähnlichen Farbton handelt.

8) Anwendbares Recht

Für sämtliche Rechtsbeziehungen der Parteien gilt das Recht der Italienischen Republik unter Ausschluss der Gesetze über den internationalen Kauf beweglicher Waren.

9) Gerichtsstand

9.1 Handelt der Kunde als Kaufmann, juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen mit Sitz im Hoheitsgebiet der Italienischen Republik, ist ausschließlicher Gerichtsstand für alle Streitigkeiten aus diesem Vertrag der Geschäftssitz des Verkäufers.

9.2 Hat der Kunde seinen Sitz außerhalb des Hoheitsgebiets der Italienischen Republik, so ist der Geschäftssitz des Verkäufers ausschließlicher Gerichtsstand für alle Streitigkeiten aus diesem Vertrag, wenn der Vertrag oder Ansprüche aus dem Vertrag der beruflichen oder gewerblichen Tätigkeit des Kunden zugerechnet werden können.

CONDIZIONI GENERALI DI CONTRATTO

Le presenti condizioni generali di contratto sono redatte in diverse lingue. In caso di divergenze interpretative o difficoltà di comprensione, fa fede la versione tedesca.

1) Ambito di applicazione

1.1 Le presenti condizioni generali di contratto (di seguito “CGC”) di Finlip (di seguito ‘Venditore’) si applicano a tutti i contratti di fornitura di merci che un imprenditore (di seguito “Cliente”) stipula con il Venditore in relazione alle merci presentate dal Venditore nel presente negozio online (www.finlip.info). Con la presente si esclude l’applicazione di condizioni proprie del cliente, salvo diversamente concordato.

1.2 Ai sensi delle presenti CGV, per imprenditore si intende una persona fisica o giuridica o una società di persone con capacità giuridica che, al momento della conclusione di un negozio giuridico, agisce nell’esercizio della propria attività commerciale o professionale autonoma.

1.3. Il venditore si riserva il diritto di modificare le CGV in qualsiasi momento.

2) Conclusione del contratto

2.1 La presentazione dei prodotti nel negozio online non costituisce un’offerta legalmente vincolante, ma un catalogo online non vincolante. Le descrizioni dei prodotti contenute nel negozio online del venditore non costituiscono offerte vincolanti da parte del venditore, ma servono al cliente per presentare un’offerta vincolante.

2.2 Il cliente può presentare l’offerta tramite il modulo d’ordine online integrato nel negozio online del venditore. Dopo aver inserito i prodotti selezionati nel carrello virtuale e aver completato il processo di ordinazione elettronico, il cliente, cliccando sul pulsante che conclude il processo di ordinazione, presenta un’offerta contrattuale legalmente vincolante relativa ai prodotti contenuti nel carrello. Il cliente può inoltre inviare l’offerta al venditore tramite e-mail o tramite il modulo di contatto online.

2.3 Il venditore può accettare l’offerta del cliente entro cinque giorni

  • inviando al cliente una conferma d’ordine scritta o una conferma d’ordine in forma testuale (via fax o e-mail), facendo fede in tal caso la data di ricezione della conferma d’ordine da parte del cliente, oppure
  • consegnando al cliente la merce ordinata, facendo fede in tal caso la data di ricezione della merce da parte del cliente, oppure
  • richiedendo al cliente il pagamento dopo l’invio dell’ordine.

Se si verificano più delle alternative sopra indicate, il contratto si conclude nel momento in cui si verifica per prima una delle alternative sopra indicate. Il termine per l’accettazione dell’offerta decorre dal giorno successivo all’invio dell’offerta da parte del cliente e scade alla fine del quinto giorno successivo all’invio dell’offerta. Se il venditore non accetta l’offerta del cliente entro il termine sopra indicato, ciò vale come rifiuto dell’offerta con la conseguenza che il cliente non è più vincolato alla sua dichiarazione di volontà.

2.4 In caso di presentazione di un’offerta tramite il modulo d’ordine online del venditore, il testo del contratto viene memorizzato dal venditore dopo la conclusione del contratto e trasmesso al cliente in forma scritta (ad es. e-mail, fax o lettera) dopo l’invio dell’ordine. Il venditore non provvederà ad alcuna ulteriore messa a disposizione del testo del contratto. Se il cliente ha creato un account utente nel negozio online del venditore prima di inviare l’ordine, i dati dell’ordine vengono archiviati sul sito web del venditore e possono essere consultati gratuitamente dal cliente tramite il suo account utente protetto da password, indicando i dati di accesso corrispondenti.

2.7 Per la conclusione del contratto sono disponibili le lingue tedesco, italiano e inglese.

2.8 L’elaborazione dell’ordine e la presa di contatto avvengono di norma tramite e-mail e tramite un sistema automatizzato di elaborazione degli ordini. Il cliente deve assicurarsi che l’indirizzo e-mail da lui indicato per l’elaborazione dell’ordine sia corretto, in modo che le e-mail inviate dal venditore possano essere ricevute a tale indirizzo. In particolare, se utilizza filtri antispam, il cliente deve assicurarsi che tutte le e-mail inviate dal venditore o da terzi incaricati dall’ultimo dell’elaborazione dell’ordine possano essere recapitate.

3) Prezzi, condizioni di pagamento, fattura

3.1 Salvo diversa indicazione nella descrizione del prodotto da parte del venditore, i prezzi indicati sono prezzi netti e quindi al netto dell’imposta sul valore aggiunto prevista dalla legge. Eventuali costi di consegna e spedizione aggiuntivi saranno indicati separatamente.

3.2 Le modalità di pagamento sono comunicate al cliente nel negozio online del venditore.

3.3 Se è stato concordato il pagamento anticipato tramite bonifico bancario, il pagamento è dovuto immediatamente dopo la conclusione del contratto, a meno che le parti non abbiano concordato una data di scadenza successiva.

3.4 Ai sensi dell’art. 1, comma 1 del MD (decreto ministeriale) del 21.12.1992, la vendita per corrispondenza è esente dall’obbligo di emissione di documenti fiscali (ricevuta fiscale, fattura, ecc.). Riceverete da parte nostra una documento contenente tutte le informazioni relative all’ordine (numero d’ordine, dati anagrafici dell’acquirente, elenco degli articoli ordinati con quantità e valore, importo dell’ordine, informazioni sulla spedizione e sul pagamento, ecc. Per le aziende con sede in Italia è possibile emettere una fattura elettronica.

4) Condizioni di consegna e spedizione

4.1 Salvo diverso accordo scritto, le condizioni di consegna sono EXW (“ex works”) secondo gli INCOTERMS 2010.

4.2 I termini di consegna e/o di completamento indicati dal venditore non sono vincolanti, a meno che non siano stati espressamente contrassegnati con la parola “vincolante”.

4.3 Se il venditore offre la spedizione della merce, la consegna avviene entro l’area di consegna indicata dal venditore all’indirizzo di consegna indicato dal cliente, salvo diversamente concordato. Ai fini dell’esecuzione della transazione fa fede l’indirizzo di consegna indicato nella procedura d’ordine del venditore.

4.4 Se la consegna della merce non va a buon fine per motivi imputabili al cliente, quest’ultimo è tenuto a sostenere i costi ragionevoli sostenuti dal venditore.

4.5 Se il cliente agisce in qualità di imprenditore, il rischio di perdita accidentale e deterioramento accidentale della merce venduta passa al cliente non appena il venditore ha consegnato la merce allo spedizioniere, al vettore o alla persona o ente incaricato dell’esecuzione della spedizione.

4.6 Il venditore si riserva il diritto di recedere dal contratto in caso di fornitura errata o non corretta da parte dei propri fornitori. Ciò vale solo nel caso in cui la mancata consegna non sia imputabile al venditore e quest’ultimo abbia concluso con la dovuta diligenza un contratto di copertura concreto con il fornitore. Il venditore farà tutto il possibile per procurarsi la merce. In caso di indisponibilità o disponibilità solo parziale della merce, il cliente verrà immediatamente informato e il corrispettivo verrà rimborsato senza indugio.

4.7 Se il venditore offre la merce per il ritiro, il cliente può ritirare la merce ordinata entro gli orari di apertura indicati dal venditore all’indirizzo indicato dal venditore. In questo caso non vengono addebitate spese di spedizione.

Il venditore si riserva inoltre la possibilità di effettuare consegne parziali, nel qual caso è esclusa la responsabilità per ritardi nella consegna dei prodotti non ancora consegnati. Se le consegne del venditore vengono effettuate su europallet, questi saranno fatturati al prezzo di mercato corrente, a meno che non vengano sostituiti con un europallet dell’acquirente al momento della consegna della merce, con prova dello scambio annotata nel CMR o, in assenza di CMR, nella bolla di consegna.

5) Riserva di proprietà

In caso di prestazione anticipata da parte del venditore, questi si riserva la proprietà della merce consegnata fino al completo pagamento del prezzo di acquisto dovuto.

6) Responsabilità per difetti (garanzia)

6.1 Salvo diversamente specificato nelle seguenti disposizioni, si applicano le norme di legge in materia di responsabilità per difetti.

6.2 Se il cliente agisce in qualità di imprenditore, si applicano le seguenti deroghe:

  • il venditore ha la facoltà di scegliere il tipo di adempimento successivo
  • il termine di prescrizione per i difetti è di 1 anno dalla consegna della merce
  • il termine di prescrizione non ricomincia a decorrere se, nell’ambito della responsabilità per difetti, viene effettuata una consegna sostitutiva.

6.3 Il cliente si impegna a controllare i prodotti al momento dello scarico/ricezione dagli mezzi di trasporto per verificare che non presentino danni evidenti dovuti al trasporto/all’imballaggio. Tali danni facilmente riconoscibili all’imballaggio/alla merce possono essere fatti valere solo se sono stati segnalati al trasportatore al momento della consegna della merce.

6.4 Il cliente ha l’obbligo di controllare la merce al momento dello stoccaggio. I difetti evidenti della merce (anche se non visibili sull’imballaggio esterno) devono essere segnalati, indipendentemente dagli INCOTERMS concordati, entro e al più tardi entro otto (8) giorni dal ricevimento della merce dopo il trasporto, per iscritto tramite e-mail o lettera raccomandata con ricevuta di ritorno, allegando il documento di trasporto, la documentazione fotografica e una descrizione dettagliata del tipo di difetti (“reclamo per difetti”). In caso di difetti nascosti, il reclamo deve essere presentato entro otto (8) giorni dalla loro scoperta. In nessun caso il venditore è responsabile per difetti riscontrati dopo dodici (12) mesi dal ricevimento della merce dopo il trasporto.

6.5 Il venditore non si assume alcuna responsabilità per difetti non segnalati entro i termini indicati.

7) Condizioni particolari per la lavorazione di merci secondo specifiche indicazioni del cliente

7.1 Se, in base al contenuto del contratto, il venditore è tenuto, oltre alla consegna della merce, anche alla lavorazione/produzione della merce secondo specifiche indicazioni del cliente, quest’ultimo è tenuto a fornire al venditore tutte le informazioni necessarie per la lavorazione (ad es. colore desiderato, quantità, termine di consegna, ecc.).

7.2 Il venditore si riserva il diritto di rifiutare ordini di lavorazione se le indicazioni fornite dal cliente non sono realizzabili.

7.3 Il venditore sottolinea espressamente che non può garantire il raggiungimento del colore richiesto dal cliente e che il colore sarà sempre simile a quello richiesto dal cliente.

8) Diritto applicabile

Per tutti i rapporti giuridici tra le parti si applica il diritto della Repubblica Italiana, con esclusione delle leggi sulla vendita internazionale di beni mobili.

9) Foro competente

9.1 Se il cliente agisce in qualità di commerciante, persona giuridica di diritto pubblico o ente di diritto pubblico con sede nel territorio della Repubblica Italiana, il foro competente esclusivo per tutte le controversie derivanti dal presente contratto è la sede legale del venditore.

9.2 Se il cliente ha sede al di fuori del territorio della Repubblica Italiana, il foro competente esclusivo per tutte le controversie derivanti dal presente contratto è la sede legale del venditore, qualora il contratto o i diritti derivanti dal contratto siano attribuibili all’attività professionale o commerciale del cliente.

These general terms and conditions are available in several languages. In the event of any interpretation or understanding issues, the German version shall prevail.

1) Scope

1.1 These General Terms and Conditions (hereinafter referred to as “GTC”) of Finlip (hereinafter referred to as ‘Seller’) apply to all contracts for the delivery of goods that an entrepreneur (hereinafter referred to as “Customer”) concludes with the Seller with regard to the goods presented by the Seller in this online shop (www.finlip.info). The inclusion of the Customer’s own terms and conditions is hereby rejected, unless otherwise agreed.

1.2 An entrepreneur within the meaning of these GTC is a natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of their commercial or independent professional activity.

1.3. The Seller reserves the right to amend the GTC at any time.

2) Conclusion of contract

2.1 The presentation of the products in the online shop does not constitute a legally binding offer, but rather a non-binding online catalog. The product descriptions contained in the seller’s online shop do not constitute binding offers on the part of the seller, but rather serve to enable the customer to submit a binding offer.

2.2 The customer can submit the offer using the online order form integrated into the seller’s online shop. After placing the selected goods in the virtual shopping cart and completing the electronic ordering process, the customer submits a legally binding contractual offer with regard to the goods contained in the shopping cart by clicking the button that concludes the ordering process. The customer may also submit the offer to the seller by email or via the online contact form.

2.3 The seller can accept the customer’s offer within five days

  • by sending the customer a written order confirmation or an order confirmation in text form (fax or email), whereby the receipt of the order confirmation by the customer is decisive, or
  • by delivering the ordered goods to the customer, whereby the receipt of the goods by the customer is decisive, or
  • by requesting payment from the customer after the customer has placed their order.

If several of the above alternatives apply, the contract is concluded at the time when one of the above alternatives occurs first. The period for accepting the offer begins on the day after the offer is sent by the customer and ends at the end of the fifth day following the sending of the offer. If the seller does not accept the customer’s offer within the aforementioned period, this shall be deemed a rejection of the offer with the consequence that the customer is no longer bound by their declaration of intent.

2.4 When an offer is submitted via the seller’s online order form, the text of the contract is stored by the seller after conclusion of the contract and transmitted to the customer in text form (e.g., email, fax, or letter) after the customer has submitted their order. The seller will not make the text of the contract available in any other way. If the customer has created a user account in the seller’s online shop before sending their order, the order data will be archived on the seller’s website and can be accessed free of charge by the customer via their password-protected user account by entering the corresponding login data.

2.7 The contract can be concluded in German, Italian, and English.

2.8 Order processing and contact are usually carried out by email and automated order processing. The customer must ensure that the email address provided for order processing is correct so that emails sent by the seller can be received at this address. In particular, when using spam filters, the customer must ensure that all emails sent by the seller or by third parties commissioned by the seller to process the order can be delivered.

3) Prices, terms of payment, invoice

3.1 Unless otherwise stated in the seller’s product description, the prices quoted are net prices and therefore exclude statutory sales tax. Any additional delivery and shipping costs will be indicated separately.

3.2 The payment option(s) will be communicated to the customer in the seller’s online shop.

3.3 If advance payment by bank transfer has been agreed, payment is due immediately after conclusion of the contract, unless the parties have agreed on a later due date.

3.4 According to Art. 1; para. 1 of the MD (Ministerial Decree) of 21 December 1992, mail order companies are exempt from issuing fiscal documents (tax receipts, invoices, etc.). You will receive an accompanying invoice from us containing all information relevant to the order (order number, buyer’s personal details, list of items ordered including quantity and value, order total, shipping and payment information, etc.). An electronic invoice can be issued for companies based in Italy.

4) Delivery and shipping conditions

4.1 Unless otherwise agreed in writing, the terms of delivery are EXW (“ex works”) in accordance with INCOTERMS 2010.

4.2 The delivery and/or completion dates/deadlines specified by the seller are non-binding, unless the dates have been expressly marked as “binding” in exceptional cases.

4.3 If the seller offers to ship the goods, delivery shall be made within the delivery area specified by the seller to the delivery address specified by the customer, unless otherwise agreed. The delivery address specified in the seller’s order processing shall be decisive for the processing of the transaction.

4.4 If delivery of the goods fails for reasons for which the customer is responsible, the customer shall bear the reasonable costs incurred by the seller as a result.

4.5 If the customer is acting as an entrepreneur, the risk of accidental loss and accidental deterioration of the goods sold shall pass to the customer as soon as the seller has delivered the goods to the forwarding agent, the carrier, or any other person or institution designated to carry out the shipment.

4.6 The seller reserves the right to withdraw from the contract in the event of incorrect or improper self-delivery. This shall only apply if the non-delivery is not attributable to the seller and the seller has concluded a specific covering transaction with the supplier with due diligence. The seller shall make every reasonable effort to procure the goods. In the event of non-availability or only partial availability of the goods, the customer shall be informed immediately and the consideration shall be refunded immediately.

4.7 If the seller offers the goods for collection, the customer may collect the ordered goods within the business hours specified by the seller at the address specified by the seller. In this case, no shipping costs shall be charged.

The seller also reserves the right to make partial deliveries, in which case liability for delayed delivery of products not yet handed over is excluded. If deliveries by the seller are made on Euro pallets, these will be invoiced at the current market price unless they are exchanged for a Euro pallet belonging to the buyer upon delivery of the goods, whereby proof of the exchange must be noted in the CMR or, if no CMR is available, in the delivery note.

5) Retention of title

If the seller makes advance delivery, it shall retain title to the delivered goods until the purchase price owed has been paid in full.

6) Liability for defects (warranty)

6.1 Unless otherwise specified in the following provisions, the statutory provisions on liability for defects shall apply.

6.2 If the customer is acting as an entrepreneur, the following shall apply in deviation from this:

  • the seller shall have the choice of the type of subsequent performance
  • the limitation period for defects shall be 1 year from delivery of the goods
  • the limitation period shall not recommence if a replacement delivery is made within the scope of liability for defects.

6.3 The customer undertakes to inspect the products for obvious transport/packaging damage at the same time as unloading/receiving them from the means of transport. Such easily recognizable damage to the packaging/goods can only be claimed if it was noted by the carrier upon delivery of the goods.

6.4 The customer is obliged to inspect the goods at the time of storage. Obvious defects in the goods (even if not visible on the outer packaging) must be reported in writing by email or by registered letter with return receipt, enclosing the transport document, photographic documentation and a detailed description of the nature of the defects (“notification of defects”) must be enclosed (“notification of defects”). In the case of hidden defects, the complaint must be made within eight (8) days of their discovery. In no case shall the seller be liable for defects discovered more than twelve (12) months after receipt of the goods after transport.

6.5 The Seller shall not be liable for any defects not reported within the specified periods.

7) Special conditions for the processing of goods according to specific customer specifications

7.1 If, according to the content of the contract, the Seller is also responsible for processing/producing the goods according to specific customer specifications in addition to delivering the goods, the Customer must provide the Seller with all information necessary for processing (e.g., desired color, quantity, delivery time, etc.).

7.2 The seller reserves the right to refuse processing orders if the information provided by the customer for this purpose cannot be produced.

7.3 The seller expressly points out that it cannot guarantee that the color requested by the customer will be achieved and that the color will always be similar to the customer’s request.

8) Applicable law

All legal relationships between the parties shall be governed by the laws of the Italian Republic, excluding the laws on the international sale of movable goods.

9) Place of jurisdiction

9.1 If the customer is a merchant, a legal entity under public law or a special fund under public law with its registered office in the territory of the Italian Republic, the exclusive place of jurisdiction for all disputes arising from this contract shall be the registered office of the seller.

9.2 If the customer is based outside the territory of the Italian Republic, the place of business of the seller shall be the exclusive place of jurisdiction for all disputes arising from this contract if the contract or claims arising from the contract can be attributed to the professional or commercial activity of the customer.
